Developing Story
Time Warner, Inc. is participating in the Campaign for Beautification of Compensation Committees through Creative Naming, subject of a previous post. The company deserves extra credit for this one: the “Compensation and Human Development" Committee. Aside from sounding like a middle school sex ed course, Human Development (per the committee's charter) seems to be mostly about – you guessed it – compensation.
And where, oh where can the company's "related transactions" disclosure be? The Table of Contents in the proxy doesn’t list a "Certain Transactions" or "Related Transactions" section, as is customary. That stuff, I discovered, is tucked into a section called “Additional Information.” Not a violation of the rules, but rather annoying.
